Terms & Conditions
The terms that apply to all quotations, orders and deliveries of Honest Ocean materials.
1. General
These Terms & Conditions ("Terms") apply to all quotations, orders, sales and deliveries of goods by Honest Ocean Ltd ("the Seller") to any business customer ("the Buyer"). By placing an order, the Buyer accepts these Terms. Any conflicting terms of the Buyer apply only if expressly accepted by the Seller in writing.
2. Quotations & Orders
Quotations are valid for 14 days unless stated otherwise and are subject to material availability. An order becomes binding when confirmed by the Seller in writing (order confirmation). Indicative prices shown on this website are not binding offers.
3. Prices & Payment
Prices are stated in the order confirmation and exclude VAT, duties and taxes unless stated otherwise. Unless agreed in writing, invoices are payable within the terms stated on the invoice. The Seller may charge statutory interest and reasonable recovery costs on overdue amounts.
4. Delivery
Unless otherwise agreed, goods are delivered DAP (Incoterms 2020) to the address stated in the order confirmation. Delivery dates are estimates given in good faith; reasonable delays do not entitle the Buyer to cancel or claim damages. Partial deliveries are permitted and may be invoiced separately.
5. Inspection & Claims
The Buyer must inspect the goods promptly on arrival. Claims for visible defects, shortages or transport damage must be notified in writing within 7 days of delivery. Claims for hidden defects must be notified in writing within 14 days of discovery and no later than 90 days after delivery. Each delivery is accompanied by a Material Test Report; claims must reference the relevant batch number.
6. Returns & Out-of-Spec Material
Goods may only be returned with the Seller's prior written approval. If material is demonstrated to fall outside the specification agreed in the order confirmation, the Seller will — at the Buyer's choice — replace the affected material or refund the price paid for it. This is the Buyer's sole and exclusive remedy for out-of-spec material. Returned goods must be unprocessed, in original condition and packaging, and accompanied by the batch documentation. Return shipping for approved out-of-spec claims is at the Seller's cost; all other approved returns are at the Buyer's cost and may be subject to a restocking charge. Free samples are provided for evaluation only and are non-returnable.
7. Title & Risk
Risk in the goods passes to the Buyer on delivery in accordance with the agreed Incoterm. Title passes only when the Seller has received payment in full for the relevant goods.
8. Use of Goods
The Buyer is responsible for verifying that the goods are suitable for its intended application, process and end product, including any regulatory requirements applicable to the Buyer's products. Technical information and datasheets are provided in good faith but do not constitute a guarantee of suitability for a particular purpose.
9. Certifications & Impact Claims
Chain-of-custody certificates and impact statements provided with each batch may be used by the Buyer in its own reporting in respect of the quantities actually purchased. Use of the Seller's name, badge or marks in the Buyer's marketing requires the Seller's prior written consent.
10. Liability
Nothing in these Terms excludes liability that cannot be excluded by law. Subject to that, the Seller's total liability arising from or in connection with any order is limited to the price paid for the goods giving rise to the claim, and the Seller is not liable for indirect or consequential losses, loss of profit, loss of production or loss of contracts.
11. Force Majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural events, port or shipping disruption, government action, or raw material shortages. If such an event continues for more than 60 days, either party may cancel the affected order without liability.
12. Governing Law
These Terms and any order are governed by the laws of England and Wales. The courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory law to the contrary.
